Terms of Service

1. Acceptance of These Terms

By accessing or using the Headlamp website, application, or related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

2. Eligibility

You must be at least 13 years old (or the minimum legal age required in your jurisdiction) to use the Service.

3. Accounts (Current and Future)

At present, the Service may be available without creating an account. We may introduce account-based features in the future.

If and when accounts are available:

  • You are responsible for maintaining the confidentiality of your credentials
  • You are responsible for all activity that occurs under your account
  • You agree to provide accurate and current information

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Description of the Service

Headlamp is a developer tool that analyzes software codebases and repositories to provide explanations, architectural insights, dependency analysis, search, and related features.

You may provide codebases to the Service in multiple ways, including:

  • Supplying public GitHub repository URLs
  • Granting access to local directories through browser-based file system APIs

The Service processes repository contents and metadata to provide its functionality.

5. Repository Data and Processing

By using the Service, you grant Headlamp permission to:

  • Copy, store, index, analyze, and process repository files and metadata
  • Generate derived data such as summaries, explanations, embeddings, dependency graphs, and architectural models
  • Store repository data and derived data in our infrastructure (including third-party infrastructure)
  • Important:* Repository contents you provide may be processed using third-party AI model providers (such as OpenAI and Anthropic) as part of generating explanations and analysis.

You are responsible for ensuring you have the legal right to provide any repository or codebase to the Service and that doing so complies with applicable licenses and laws.

6. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes
  • Attempt to access private repositories, systems, or data without authorization
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, scrape, or abuse the Service beyond its intended use
  • Use the Service to distribute malware or malicious code

We may restrict or terminate access if we reasonably believe you are misusing the Service.

7. User Content

“User Content” includes repository URLs, codebases, prompts, queries, and other materials you submit or make accessible to the Service.

You retain ownership of your User Content. You grant Headlamp a non-exclusive, limited license to use, process, store, and display User Content solely to operate and improve the Service.

8. AI-Generated Outputs

The Service generates automated outputs such as explanations, summaries, and diagrams. These outputs:

  • Are generated algorithmically
  • May be inaccurate, incomplete, or outdated
  • Are provided for informational purposes only

You are responsible for verifying outputs before relying on them in production, security-sensitive, or legal contexts.

9. Intellectual Property

The Service, including its software, design, branding, and proprietary analysis methods, is owned by Sapient Innovations, LLC or its licensors and is protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Service.

10. Paid Plans (Future)

We may introduce paid plans or subscriptions in the future. If we do:

  • Pricing, billing terms, and plan features will be disclosed at purchase
  • Subscriptions may renew automatically unless canceled
  • Fees are non-refundable except where required by law

11. Third-Party Services

The Service relies on third-party services such as GitHub, cloud infrastructure providers, databases, and AI model providers. Your use of those services may be subject to their own terms. Headlamp is not responsible for third-party services.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if:

  • You violate these Terms
  • Required by law
  • Necessary to protect the Service or other users

Upon termination, your right to use the Service ends.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAPIENT INNOVATIONS, LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, WHICHEVER IS GREATER.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any legal action shall be brought exclusively in state or federal courts located in Delaware.

16. Changes to These Terms

We may update these Terms from time to time. Changes will be posted with an updated “Last Updated” date. Continued use constitutes acceptance of the revised Terms.
